Terms of Purchase and Use

1. Acceptance of these terms

By subscribing to, accessing or using PlainSight Ready, you confirm that you have read and agree to these terms and that you have authority to act for the legal business entity identified at checkout or during account setup.

If you do not agree, do not use or distribute the product and contact us promptly.

2. PlainSight Ready

PlainSight Ready is a self-service, browser-based business-reporting software subscription that allows a customer to load supported customer and sales data locally in the browser, view dashboards and generate reporting outputs.

The purchase includes the product version supplied at the time of purchase, the included templates, sample files, instructions and any materials expressly described as included. PlainSight Online, custom development, implementation, data preparation, training, managed reporting, integrations and future versions are not included unless separately agreed in writing.

3. Price, purchase and delivery

The price displayed at checkout is in Australian dollars unless stated otherwise. Any applicable taxes will be dealt with as shown at checkout or on the transaction record.

PlainSight Ready is delivered digitally to the email address provided at checkout. You are responsible for entering a correct email address, checking junk or spam folders and keeping a copy of the delivered ZIP file.

Payment is processed by Stripe. We do not directly collect or store your full card details.

4. Subscription access for one legal business entity

While the subscription is active and subject to payment and compliance with these terms, we grant the legal business entity identified at checkout a limited, non-exclusive, non-transferable right to access and use PlainSight Ready internally for that entity’s own business purposes.

Employees and contractors may use the product for the licensed entity’s internal purposes, provided the licensed entity remains responsible for their use and does not provide the product for use by another legal entity.

A related company, franchisee, client, customer, subsidiary or other separately registered legal entity requires its own licence unless we agree otherwise in writing.

5. What you must not do

You must not, and must not allow another person to:

• sell, sublicense, rent, lease, publish, distribute or commercially share the product or its underlying files;
• provide the product as a service bureau, hosted service or reporting service for third parties without written permission;
• copy or use the product for another legal business entity;
• remove or alter licence, copyright, branding or proprietary notices;
• circumvent licence controls or technical restrictions;
• reverse engineer, decompile or attempt to extract the product’s source code except to the limited extent such restriction is prohibited by law; or
• use the product unlawfully or in a way that infringes another person’s rights.

6. System, file and setup requirements

You need a suitable desktop or laptop computer, a current supported web browser and Microsoft Excel or compatible spreadsheet software to prepare the supplied templates. PlainSight Ready is designed primarily for desktop and laptop use.

You are responsible for:

• extracting the delivered ZIP folder before opening the product;
• keeping the required folder structure and included files together;
• using the supplied templates and supported field structure;
• maintaining suitable backups and security on your computer; and
• testing the product with your full-sized data on the computer that will run it.

Performance depends on data volume, file complexity, browser, device resources and other local conditions. Larger datasets may take longer to load, filter and export.

7. Your data and responsibilities

You retain ownership of the customer, sales and other data you use with PlainSight Ready. The product processes selected files locally in the browser during ordinary use and does not upload those source files to PlainSight Reporting servers.

You are responsible for ensuring that:

• you have the right and authority to use the data;
• the data is lawful, accurate, complete and appropriately formatted;
• customer IDs, product names, mappings, dates, values and other fields are correct;
• your use complies with privacy, confidentiality, employment, contractual and other obligations; and
• you protect exported reports and files from unauthorised access.

8. Reporting outputs and business decisions

PlainSight Ready reports from the source files, selections, mappings and filters supplied by the user. Outputs may be affected by missing, duplicated, incorrect, future-dated, unmatched or inconsistently formatted data.

You must review and verify calculations, mappings and outputs before relying on or distributing them. PlainSight Ready is a reporting aid only. It does not audit your records and does not provide accounting, financial, tax, legal, employment or other professional advice.

You remain responsible for business, commercial, staffing, pricing, sales, inventory and other decisions made using the product or its outputs.

9. Support, maintenance and updates

The included instructions, FAQs, templates and sample files form the standard self-service support materials. Data cleaning, file preparation, implementation, customisation, training and ongoing reporting support are not included unless separately agreed.

We may provide reasonable assistance for a genuine product issue at our discretion or where required by law. We may request screenshots, browser details, error information and confirmation that the supplied instructions were followed.

Your purchase includes the version delivered at the time of purchase. Future updates, new features, hosted versions, replacement versions and compatibility work are not included unless expressly stated.

10. Refunds and Australian Consumer Law remedies

PlainSight Ready is billed monthly. You may cancel future renewal at any time. Refunds are not generally provided for change of mind or unused subscription periods, subject always to rights that cannot be excluded under the Australian Consumer Law.

This does not limit rights under the Australian Consumer Law. Where applicable:

• for a major failure, you may be entitled to choose a refund or replacement and may also have rights regarding reasonably foreseeable loss or damage; and
• for a minor failure, we may first be entitled to rectify the problem within a reasonable time.

11. Data, reporting errors and limitation of liability

Customer data and reporting accuracy

PlainSight Ready generates reports from the data, mappings, filters, date selections and other inputs supplied or selected by the user. We do not independently verify, audit or reconcile that information.

To the maximum extent permitted by law, PitchIn Solutions and PlainSight Reporting are not responsible or liable for errors, omissions, inaccuracies, incomplete results, duplicated transactions, unmatched records, incorrect classifications, misleading trends or other reporting issues caused by or arising from:

• inaccurate, incomplete, duplicated, inconsistent, incorrectly formatted or outdated source data;
• incorrect customer IDs, product names, mappings, dates, values, filters or comparison-period selections;
• future-dated, omitted, altered or unauthorised transactions;
• changes made by the user to templates, formulas, required files, folder structures or product code;
• unsupported devices, browsers, software or local computer conditions;
• failure to follow the supplied setup, validation and data-preparation instructions; or
• the user’s interpretation or use of a dashboard, exported report, recommendation or sales action.

Verification before reliance

The user must review and verify all source data, mappings, calculations, dashboard results and exported reports before relying on them, sharing them or making business decisions. PlainSight Ready is a reporting aid and does not replace accounting records, reconciliations, professional advice, management review or independent verification.

Business decisions and consequential loss

To the maximum extent permitted by law, we are not liable for any decision, action or omission made in reliance on PlainSight Ready or its outputs, including decisions relating to customers, sales, products, territories, staffing, pricing, purchasing, inventory, credit, forecasting, budgets or strategy.

To the maximum extent permitted by law, we exclude liability for indirect, incidental, special or consequential loss, loss of profits, revenue, opportunity, goodwill, anticipated savings, business interruption, loss or corruption of data, or claims made by another person.

Maximum liability

Except where liability cannot lawfully be excluded or limited, our total aggregate liability arising out of or relating to PlainSight Ready, its use, its outputs or these terms is limited to the amount actually paid by the licensed business entity for PlainSight Ready.

Rights that cannot be excluded

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right, remedy or liability that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or another applicable law.

Where a guarantee applies and liability may lawfully be limited, our liability is limited, at our option and to the extent permitted by law, to replacing or resupplying the affected product or files, rectifying the issue, or paying the reasonable cost of having the relevant product or service supplied again.

12. Third-party services

The website, checkout, account and subscription access process may rely on third-party services such as Stripe, Supabase and Netlify. Those services are governed by their own terms and privacy policies. We are not responsible for third-party systems beyond the extent required by applicable law.

13. Intellectual property

PlainSight Ready, its design, code, structure, documentation, templates, branding and other supplied materials are owned by or licensed to PitchIn Solutions and are protected by intellectual property laws.

The licence in these terms gives you permission to use the product; it does not transfer ownership of the product or underlying intellectual property.

14. Suspension and termination

We may suspend or terminate subscription access by written notice if you materially breach these terms and, where the breach can be remedied, do not remedy it within a reasonable period after notice.

On termination for breach, you must stop using and distributing the product and delete unauthorised copies. Clauses concerning intellectual property, restrictions, data responsibility, liability, disputes and accrued rights continue to apply.

15. General

Changes

The terms applying to a purchase are the terms presented at that time. We may update website terms for future purchases or to reflect legal and operational changes.

Assignment

You may not transfer the subscription or these terms to another legal entity without our written agreement. We may assign our rights and obligations as part of a genuine business restructure, sale or transfer, subject to applicable law.

Severability

If a provision is invalid or unenforceable, it will be read down to the extent necessary or severed, without affecting the remaining provisions.

No waiver

A delay or failure to enforce a right is not a waiver of that right.

Governing law

These terms are governed by the laws of Victoria, Australia. The parties submit to the courts and tribunals having jurisdiction in Victoria, subject to any rights that cannot lawfully be restricted.
